These Terms & Conditions (“Terms”) govern the engagement between Truth Investigations (Cryptico Consulting Pty Ltd), ABN 81 161 852 704 (“Truth Investigations”, “we”, “us”) and you (the “Client”) in relation to the background check. By submitting the form and accepting these Terms, you agree to them. These Terms are governed by the laws of New South Wales.
By ticking the acceptance box and submitting your enquiry, you confirm you have read and accepted these Terms. Where we provide a written scope of work by email, that scope, read together with these Terms, forms our agreement. We do not issue separate engagement letters.
We provide background and due-diligence checks within the scope you select and as set out in our written scope. Our checks draw on lawful sources and are not a substitute for an official national police check.
You are responsible for ensuring you have a lawful basis or authority to request the check, including any consent required from the subject for the purpose (for example, employment screening). We do not warrant the accuracy or completeness of third-party source data.
You warrant that:
We perform our services lawfully and in accordance with our professional and licensing obligations and applicable laws, including the Surveillance Devices Act 2007 (NSW), the Privacy Act 1988 (Cth) and relevant state and territory legislation. We may refuse, suspend or cease work, without refund of fees for work already performed, if we form the view that the engagement is or may become unlawful, would breach a court order, or was procured by misrepresentation.
Fees are set out in our written scope or quotation. Unless otherwise agreed, work commences on acceptance of the scope and payment of any deposit or pre-payment. Invoices are payable by the due date stated. We may pause or cease work where invoices remain unpaid.
Investigations are inherently uncertain. We will use reasonable skill, care and diligence, but we do not guarantee any particular result, finding or outcome.
Reports and materials we prepare are provided for your use in the matter for which they were commissioned. They must not be altered or used misleadingly. You may use them in legal proceedings; we may be required to give evidence in connection with our work. We retain ownership of our methods and working papers.
We treat your matter confidentially. Our handling of personal information is described in our Privacy Policy.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded. Subject to that, and to the extent permitted by law, our liability for any claim arising out of or in connection with our services is limited, at our option, to re-supplying the services or to the total fees paid by you for the relevant services. We are not liable for indirect or consequential loss.
You indemnify us against any loss, liability or cost we incur arising from your breach of these Terms, your misrepresentation, or any unlawful use of our services, information or materials by you or on your behalf.
Either party may end the engagement on reasonable notice. You remain liable for fees and disbursements incurred up to termination.
These Terms are governed by the laws of New South Wales, and the parties submit to the non-exclusive jurisdiction of the courts of New South Wales.
If any provision is found unenforceable, it is severed and the remainder continues. These Terms, with any written scope, are the entire agreement between us and may only be varied in writing.
